These Terms of Service ("Terms") govern your access to and use of the website, services, and offerings provided by HELO Luxury Air Mobility, Inc. ("HELO," "we," "our," or "us"). By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

2. Services

HELO operates as a charter broker and arranges air transportation, ground transportation, and related services on behalf of clients. HELO does not own or operate aircraft. All flights arranged through HELO are operated by independently owned and operated FAA-certified Part 135 air carriers.

Ground transportation services are provided through licensed third-party operators. HELO coordinates these services but does not directly employ drivers or own vehicles.

3. Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

4. Bookings and Payments

All bookings are subject to aircraft availability and operator confirmation. Pricing provided in quotes is valid for the period specified and may be subject to change based on fuel costs, landing fees, or other variable expenses.

Payment terms will be communicated at the time of booking. Deposits may be required to secure reservations. Cancellation policies vary by service type and will be disclosed prior to confirmation.

5. HELO One Membership

HELO One is a private membership program subject to approval. Membership terms, including annual fees, initiation fees, and benefits, are outlined in a separate Membership Agreement provided to approved applicants.

Membership benefits are subject to change with reasonable notice. HELO reserves the right to accept or decline membership applications at its sole discretion.

6. User Conduct

You agree to use our website and services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services for any unlawful purpose
• Provide false or misleading information
• Interfere with the operation of our website or services
• Attempt to gain unauthorized access to our systems
• Reproduce, distribute, or modify any content from our website without permission

7. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of HELO Luxury Air Mobility, Inc. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

To the fullest extent permitted by law, HELO shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website or services.

HELO acts as a broker and intermediary. We are not liable for the acts, omissions, or negligence of third-party operators, including air carriers and ground transportation providers. Liability for air transportation is governed by the terms and conditions of the operating carrier.

9. Indemnification

You agree to indemnify and hold harmless HELO, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of our services or violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Miami-Dade County, Florida.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the revised Terms.
